These Terms of Service ("Terms") govern your access to and use of TruthVouch's website, platform, and services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using TruthVouch's services, you confirm that you are at least 18 years of age, have the authority to enter into these Terms on behalf of your organization, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

TruthVouch provides an AI trust platform including hallucination detection, compliance automation, brand intelligence, AI governance, content certification, and related advisory services (the "Services"). The Services are provided on a subscription basis as described in your plan.

3. Account Registration

You must register for an account to access most Services. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use of your account.

4. Subscription and Payment

Subscription fees are charged in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in these Terms. We may change our fees upon 30 days' notice. Continued use of the Services after the effective date of any fee change constitutes your acceptance of the new fees.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any part of the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to transmit malicious code or interfere with other users
• Resell, sublicense, or otherwise transfer rights to the Services without our written consent

6. Your Data

You retain ownership of all data, content, and information you submit to the Services ("Customer Data"). You grant us a limited license to use your Customer Data solely to provide and improve the Services. We will maintain appropriate technical and organizational measures to protect Customer Data.

7. Intellectual Property

TruthVouch and its licensors own all intellectual property rights in and to the Services, including all software, algorithms, and related content. These Terms do not grant you any rights to our intellectual property except the limited license to use the Services as described herein.

8. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party and to use such information only to exercise its rights and fulfill its obligations under these Terms.

9. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUTHVOUCH'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Termination

Either party may terminate these Terms upon notice if the other party materially breaches these Terms and fails to cure such breach within 30 days after notice. We may also terminate or suspend your access to the Services immediately if you violate these Terms.

12. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice for material changes. Your continued use of the Services after the effective date of any change constitutes acceptance of the updated Terms.
